Terms of Service

By accessing or using Closini's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use our Services.

Closini provides a cloud-based omnichannel customer messaging platform that includes:

•Unified inbox for WhatsApp, Messenger, Instagram, Telegram, email, SMS, and live chat

•AI-powered agents for automated customer support and lead qualification

•Workflow automation and broadcasting tools

•Contact management and CRM functionality

•Reporting and analytics dashboards

•API access for custom integrations

To use our Services, you must create an account. You agree to:

•Provide accurate, current, and complete registration information

•Maintain the security of your password and account

•Promptly update your account information if it changes

•Accept responsibility for all activities under your account

•Notify us immediately of any unauthorized use of your account

You agree not to use the Services to:

•Violate any applicable law, regulation, or third-party rights

•Send unsolicited bulk messages (spam) without proper consent

•Transmit malicious software, viruses, or harmful code

•Attempt to gain unauthorized access to our systems or other users' accounts

•Interfere with or disrupt the integrity or performance of the Services

•Harvest or collect user data without authorization

•Impersonate any person or entity

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

•We may change pricing with 30 days' notice

•Failure to pay may result in suspension or termination of your account

•You are responsible for all applicable taxes

•Annual plans are billed as a single payment for the full year

You retain all rights to your data. By using our Services, you grant Closini a limited license to process your data solely to provide the Services. We will not use your data for any other purpose.

Upon termination, you may request export of your data within 30 days. After 30 days, we reserve the right to delete your data in accordance with our data retention policy.

The Services, including all software, designs, text, graphics, and other content, are owned by Closini and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our written permission.

Your use of the Services does not grant you any ownership of intellectual property rights in the Services or the content you access.

We commit to 99.9% uptime for our core Services. If we fail to meet this target in any calendar month, you may be eligible for service credits. Details of our SLA are available at closini.com/security.

Scheduled maintenance windows are excluded from uptime calculations. We will provide at least 24 hours' notice for planned maintenance.

To the maximum extent permitted by law, Closini shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

Either party may terminate these Terms at any time. You may cancel your account through the platform settings or by contacting support.

We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if we reasonably believe your use poses a security risk.

Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination will survive.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
